Expert Agreement

1. Role of CareersHeights

CareersHeights is an online marketplace that connects Users seeking career guidance with independent Experts.

CareersHeights:

• Does not employ Experts
• Does not supervise or control your work
• Does not guarantee bookings or income
• Acts solely as a technology platform and intermediary

You operate as an independent contractor, not an employee, agent, or representative of CareersHeights.

Nothing in this Agreement creates an employment, partnership, or joint venture relationship.

2. Eligibility & Expert Account

To become an Expert, you must:

• Be at least 18 years old
• Provide accurate and truthful information
• Maintain an up to date profile
• Have the legal right to provide the services you offer
• Comply with all applicable laws and regulations

CareersHeights may approve, deny, or revoke Expert status at its discretion.

3. Expert Responsibilities

As an Expert, you agree to:

4. Expert Subscriptions

Experts may purchase subscription plans that provide access to enhanced features.

4.1 Billing

• Subscription fees are charged in advance
• Plans may renew automatically
• Applicable GST/HST will be added

4.2 Cancellation

• You may cancel at any time
• Cancellation takes effect at the end of the billing cycle
• Subscription fees are non refundable, except where required by law

5. Commission Structure

CareersHeights charges a commission on paid services booked through the Platform.

5.1 Commission Rates

Commission rates vary by subscription tier and are displayed in your Expert dashboard.

5.2 Commission Application

Commissions apply to:

• 1:1 sessions
• Group sessions
• Resume reviews and document services
• Any other paid services booked through the Platform

Commissions are deducted at source when payment is collected.

5.3 Changes to Commission Rates

CareersHeights may modify commission rates with prior notice.

6. Payments & Payouts

Payments from Users are processed through third party providers such as Stripe.

6.1 Payouts

• You receive payouts for completed sessions after commissions and fees
• Payout timing depends on the payment processor
• You must provide accurate payout information

6.2 Taxes

You are solely responsible for:

• Determining whether you must register for GST/HST
• Charging GST/HST to Users if required
• Remitting taxes to the CRA
• Reporting your income

CareersHeights does not provide tax advice.

7. Refunds & Cancellations

Refunds are governed by the Refund & Cancellation Policy.

7.1 Expert Cancellations

If you cancel a session:

• The User receives a full refund
• You do not receive payout
• Repeated cancellations may result in account review

7.2 No Shows

If you fail to attend a session:

• The User receives a full refund
• You forfeit payout
• Repeated no shows may result in suspension

7.3 Refund Impact

If a User receives a refund:

• Your payout may be reversed or withheld
• CareersHeights may reverse its commission at its discretion

8. Uploaded Content & Intellectual Property

You may upload content such as:

• Profile information
• Credentials
• Sample work
• Session materials

8.1 Ownership

You retain ownership of your content.

8.2 License to CareersHeights

You grant CareersHeights a non exclusive, worldwide, royalty free license to:

• Store
• Display
• Transmit
• Use your content solely for Platform functionality

8.3 User Documents

Users may upload resumes, cover letters, and other documents for your review.

You agree to:

• Treat User documents as confidential
• Use them only for the purpose of providing services
• Not store, share, or reuse them outside the Platform

9. Confidentiality

You may receive confidential information from Users or CareersHeights.

You agree to:

• Keep such information confidential
• Use it only for providing services
• Not disclose it to third parties

This obligation survives termination.

10. Privacy & Data Protection

Your use of the Platform is governed by the Privacy Policy and Data Retention Policy.

You agree to:

• Handle personal information in accordance with PIPEDA
• Protect User data from unauthorized access
• Notify CareersHeights of any suspected data breach

11. Disputes

If a dispute arises between you and a User:

• You should attempt to resolve it directly
• CareersHeights may request information from both parties
• CareersHeights may issue refunds or take action at its discretion

CareersHeights is not obligated to mediate disputes.

12. Termination

CareersHeights may suspend or terminate your account if:

• You violate this Agreement
• You engage in fraud or harmful conduct
• Required by law or security concerns

You may terminate your account at any time.

Upon termination:

• Access to your Expert account is revoked
• Outstanding payouts may be withheld pending review
• Certain data may be retained for legal or financial reasons

13. Limitation of Liability

To the fullest extent permitted by law:

• CareersHeights is not liable for your actions, advice, or omissions
• CareersHeights is not responsible for lost income, opportunities, or data
• CareersHeights is not liable for indirect or consequential damages

CareersHeights' total liability is limited to the greater of:

• $100 CAD, or
• The total amount you paid to CareersHeights in the six months preceding the claim

Nothing in this Agreement limits liability where prohibited by law.

14. Amendments

We may update this Agreement from time to time.

When changes occur, we will:

• Update the "Effective Date"
• Provide notice for material changes

Continued use of the Platform after changes take effect constitutes acceptance of the updated Agreement.

15. Governing Law

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada.

Experts agree to submit to the jurisdiction of Ontario courts.
