CareersHeights Founding Expert Agreement

CareersHeights is building a professional career guidance marketplace that connects career seekers with experienced professionals, coaches, mentors, and industry experts. The Founding Expert Program is intended to recognize and reward early experts who join and contribute to the growth and development of the platform.

• Priority placement in the Expert Directory
• Early access to new platform features
• Reduced commissions
• Complimentary Premium membership period
• Participation in platform advisory discussions
• Special Founding Expert designation or badge

CareersHeights reserves the right to modify, suspend, or discontinue any Founding Expert benefits at its sole discretion.

The Expert acknowledges and agrees that:

• The Expert is an independent contractor.
• Nothing in this Agreement creates an employment, partnership, agency, joint venture, or fiduciary relationship.
• The Expert is solely responsible for all taxes, statutory deductions, licenses, permits, and regulatory requirements applicable to their activities.

The Expert may provide services through CareersHeights including but not limited to:

• Career coaching
• Industry mentoring
• Interview preparation
• Resume review
• Professional development guidance
• Group coaching sessions
• Educational workshops

The Expert shall determine the content of their services and shall perform such services professionally and ethically.

The Expert agrees not to disclose, distribute, or use any non-public information relating to:

• CareersHeights business operations
• Platform functionality
• User information
• Expert information
• Financial information
• Marketing plans
• Future product developments

except as required by law or with prior written consent from CareersHeights. This obligation survives termination of this Agreement.

As a Founding Expert, the Expert may provide suggestions, recommendations, feedback, or ideas relating to the platform. The Expert agrees that:

• All feedback is voluntarily provided.
• CareersHeights may use, modify, implement, and commercialize such feedback without restriction.
• No compensation is owed for feedback unless otherwise agreed in writing.

The Expert acknowledges that:

• CareersHeights facilitates payment processing.
• Applicable commissions will be deducted at source.
• Commission rates shall be determined by the Expert's subscription plan.

Current subscription plans and commission schedules are published on the CareersHeights website and may be amended from time to time. The Expert authorizes CareersHeights to deduct commissions, payment processing fees, refunds, chargebacks, and other authorized adjustments prior to remitting payment.

The Expert agrees that any relationship, introduction, booking, lead, or engagement originating through CareersHeights shall remain on the platform for all paid services. The Expert shall not:

• Solicit off-platform payments;
• Redirect users to external payment methods;
• Conduct platform-originated services outside CareersHeights;
• Attempt to avoid platform commissions or fees.

Violations may result in suspension, termination, forfeiture of unpaid earnings, or other remedies available under applicable agreements.

The Expert agrees to:

• Act professionally and respectfully;
• Provide accurate information;
• Avoid misleading representations;
• Refrain from harassment, discrimination, or abusive conduct;
• Comply with all applicable laws and regulations.

CareersHeights reserves the right to investigate complaints and take appropriate action.

The Expert retains ownership of materials independently created by the Expert. The Expert grants CareersHeights a non-exclusive, worldwide, royalty-free license to:

• Display the Expert profile;
• Use the Expert's name, biography, image, and professional credentials;
• Promote the Expert's services on the platform and in marketing materials.

This license remains in effect while the Expert maintains an active profile.

To the maximum extent permitted by law, CareersHeights, its parent companies, affiliates, officers, directors, employees, successors, and assigns shall not be liable for:

• Loss of income;
• Loss of business opportunity;
• Indirect or consequential damages;
• Actions of users;
• User decisions or outcomes;
• Technical interruptions or platform outages.

The Expert's sole remedy shall be limited to amounts paid to CareersHeights during the preceding twelve (12) months.

The Expert agrees to indemnify and hold harmless CareersHeights, its affiliates, officers, directors, employees, successors, and assigns from claims, damages, losses, liabilities, costs, and expenses arising from:

• The Expert's services;
• The Expert's conduct;
• Breach of this Agreement;
• Violation of applicable laws;
• Claims brought by users relating to the Expert's services.

Either party may terminate participation in the Founding Expert Program at any time. CareersHeights may suspend or terminate the Expert's account immediately where:

• Platform policies are violated;
• Fraudulent activity is suspected;
• Circumvention is detected;
• User safety or platform integrity is at risk.

Termination does not relieve either party of obligations accrued prior to termination.

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. The parties irrevocably attorn to the exclusive jurisdiction of the courts of Ontario, Canada.

Prior to commencing legal proceedings, the parties shall attempt in good faith to resolve disputes through negotiation. If unresolved, the parties may agree to mediation before pursuing litigation.

This Agreement, together with the CareersHeights Terms & Conditions, Privacy Policy, Expert Agreement, and applicable subscription plan terms, constitutes the entire agreement between the parties regarding participation in the Founding Expert Program.
